Amy Buttrick

Amy is a second year trainee at Rollits in Hull. Her current seat is in the company and commercial department.

May 2019 - I cannot believe it is the end of another month and that I am now half way through my final seat. May has flown by!

There have been a couple of matters I have been working on this month in relation to company buy-backs, both of which are as a result of departing shareholders. It has been great being involved in these as there is quite a bit of drafting involved and often the drafting needs to be tailored to the specific buy-back, so it has been good to have the opportunity to develop my drafting skills. Both of the buy-backs have been financed in different ways, one through distributable profits and the other by the proceeds of issuing new shares. This has also been good as it has allowed me to gain experience in two different ways in which a company can buy back its shares.

Throughout the month I have also continued to be involved in acquisition work. This has mainly involved assisting with the due diligence process by producing replies to enquiries from the Buyers and also being in close communication with our clients as they walk through the due diligence process.

Outside of the office this month I attended the University of Hull’s E-Mentoring Celebration Event. Throughout the year I have taken part in the programme and been able to mentor a couple of law students at the University, this has been a great experience so it was great to be able to attend the celebration event and meet with other mentors around the city.

Towards the end of the month I had some annual leave where I went to Paris and Disneyland for a four day weekend on a Hen Do, which was absolutely fantastic and a great break from work!

All in all, it has been another brilliant month and I am looking forward to seeing what June brings.

April 2019 - I cannot believe it is the end of April and my second month back in Corporate is done! It has been another busy but good month.

Throughout the month, a lot of the work I have been involved in has been in relation to a couple of acquisitions, one of which completed at the end of the month. A lot of the work throughout the month on this has been preparing for the completion with a lot of my work here focussing on drafting the ancillary documents for the acquisition. This was a fairly large scale acquisition and I was able to be involved right from the start of the deal. It was great to therefore see it from start to finish and help in getting the deal over the line. One of the other acquisitions I am currently involved in is at the fairly early stages of the acquisition process, with a lot of my work here surrounding the Due Diligence.

This month I have also been involved in a number of smaller corporate matters, including a company buy-back. This was a great experience, as it was my first time working on one of these types of deals. I was able to draft all of the relevant documents for this including the Buy-Back Agreement itself and the relevant ancillary documents. The deal has involved a departing shareholder therefore there have been a number of issues to both consider and negotiate here, which has all added to some good experience.

I also spent a day out of the office this month to travel down to London to attend an MBL Conference on Director and Shareholder Disputes. This was a very useful and informative day!

All in all, it has been another great month here at Rollits with the Corporate team. I am looking forward to May and all this will bring!

March 2019 - March has been my first month back up in the Company & Commercial Department with the Corporate Team. The month has passed by very quickly and has brought some great opportunities and experiences.

Throughout the month I have been able to get involved in a number of different corporate matters. One of the main matters I have worked on this month has been a company reorganisation as a result of the main shareholder of the company retiring. This has involved setting up a new holding company and the drafting of a number of documents including a loan agreement, multiple board minutes and written resolutions and documents relating to the reduction of capital of the company.

Throughout the month I have also been involved in a number of acquisitions we are currently working on. A lot of the work for these has included drafting a number of ancillary documents to support the overall transaction. I have also been involved in the completion for one these deals. Preparation for completing a deal is always a busy time but it is a great experience to be involved in this prep and checking that everything is ready and in place.

Outside of the office this month I attend Smailes Goldie’s Big Fat Quiz of the Year. This was a great evening with colleagues and other professionals within the city raising money for the Smile Foundation. As well as this I spent the day down in London towards the end of the month to attend my final PSC course. The PSC was titled ‘Pensions; A Comprehensive Review’. This was a useful course to attend and was a good introduction into this area of law.

All in all it has been a fantastic first month back with the Corporate Team. I am looking forward to April and all this will bring.

February 2019 - February has been the final month of my third seat and time with the Dispute Resolution Department and it has passed by quickly!

Throughout the month my work has continued to be varied allowing me to continue to experience different areas of litigation. I have been involved in a Bankruptcy, which has allowed me to gain experience in an area I have not yet done any work. As well as this, I have continued to assist a number of partners within the team on various property disputes and shareholder disputes. Towards the end of the month I have also been involved in the restoration of a company.

This month I have also spent some time out of the office to attend a couple of Networking Events, including a Time Management Seminar at Sewell Group in Hull for Young Professionals within the area. It is always great to attend these events and get to know other intermediaries working here within the city. I have also attended a couple of lunches with a number of Banks and Accountancy Firms which were great to attend. One of the lunches was to celebrate an Insolvency matter I worked on; it was nice to get together with the other teams that helped to get this deal over the line!

Overall, my time with the Dispute Resolution team has been great - the team have made me feel very welcomed right from the off. I feel I have learnt a lot over the last six months and it has been great to gain experience in the contentious side of law.

Next month I will be returning to the Corporate team for my final seat before I qualify in September. I am looking forward to re-joining the team as Corporate is the area of law in which my main interests lie.

January 2019 - It has been a busy but good first month of the year here at Rollits! The month has passed by very quickly and I cannot believe I now only have one month left of this seat!

Throughout the month I have been able to get involved in more matters and also continue to assist and further matters I have been involved in for a while.

Some of the work I have been involved in has included assisting with an ongoing large scale shareholder dispute by looking into a number of points of research and also assisting with the preparation for the Case and Costs Management Conference for this case.

During the month I have also been involved in a number of property related disputes and helped with the trial preparation for some of these. I have also had the opportunity to assist with a defamation case this month which has been interesting as this is an area of law I have not looked at since undergraduate study at University.

I have also had a couple of days out of the office this month down in London to attend two of my PSC Elective Courses, these being ‘An Introduction to Tax for Corporate Lawyers’ and ‘Loan Agreements’. I found both courses beneficial and a great opportunity to develop my understanding of the various different aspects of Corporate Law.

At the end of this month, I will be attending the firms own ‘Quiz Night’ - I am looking forward to this as it will be a great opportunity to get to know different colleagues!

I am looking forward to February and my final month with the Dispute Resolution team!

December 2018 - December has been another busy month. With the build up to Christmas and all of the office festivities that this brings, it has also been an exciting one!

Throughout this month, I have been busy on a number of corporate litigation matters. These have been in relation to shareholder disputes and disagreements relating to director loans. The work on these matters has involved undertaking the initial case analysis, reviewing the agreed terms within a Share Purchase Agreement as a point of evidence, looking into the financial position of a number of companies and drafting instructions to Counsel. I have now been involved in a number of corporate related disputes and always enjoy them as it allows me to also gain further corporate law experience.

A lot of my time this month has been spent assisting with the preparation for trial of a commercial case ahead of the hearing down in London at the High Court. I was heavily involved in the disclosure process and trial bundle preparation. It was great to experience the build up to a trial and though it was often busy with a lot of pressure as to time, it was very rewarding!

During the month I have also had the opportunity to attend a number of festive drinks in and around the city, including Kingsbridge’s and Begbies respective events. Attending these events was a great opportunity to meet and mingle with other professionals in the city and clients.

All in all, it has been another great month here at Rollits!

November 2018 - November has been another busy but good month, filled with all sorts!

Throughout this month, the corporate litigation I have been involved in relating to Insolvency has continued and also finished! This has meant I have continued to be in close communication with both banks and accountancy firms, drafted various court forms and corporate supporting documents, and attended Court in both Leeds and Hull independently. It also meant working closely with our corporate team, who also had a key role in these matters. It was a great experience to be involved in matters that required a great deal of team work with other firms in order to get the deals over the line.

As the month has gone on, I have been involved in a number of shareholder disputes, one of which is a multi-million pound case that will be heard in the High Court. It has been good experience working on this matter, as I have been able to assist in gathering evidence to aid our client’s argument and also help out on a conference call with Counsel. For another shareholder dispute I am working on, I conducted the initial case analysis and drafted instructions to Counsel. This again has been great experience for me, allowing me to further develop my understanding of both litigation and corporate law.

This month I also had some time out of the office attending one of my PSC Electives in Manchester on Private Company Acquisitions. This is an area of law I am very keen on so the course was very useful and allowed me to buils on my knowledge and understanding of the acquisition process.

Finally, towards the end of the month I attended the Annual Quiz 2018 in aid of the Bridges, which is a residential rehabilitation charity. This was a fantastic evening raising money for a great cause. It was also a great evening socialising with colleagues, with the added bonus that we did not do too badly in the quiz!

All in all, it has been another fantastic month here at Rollits and I am looking forward to what the next brings. December is always a good month with various festive events and Christmas celebrations to attend!

October 2018 - October has been a very busy month so has flown by!

At the start of the month, I attended the Hull Law Society Bicentenary Ball on behalf of the firm where I was awarded the Willis Mills Prize for Finance and Business. I am very proud to have achieved this and I feel it is a great start to my career. All in all, the whole evening was fantastic and it was great as always to be able to socialise outside of the office with colleagues!

Now that I have had some time to settle into my seat with the Dispute Resolution team, I have been able to get more heavily involved in different matters, the majority of which have been corporate or commercial related.

Earlier this month, I was very busy assisting with the disclosure process of a large High Court commercial case in preparation for a hearing. Due to the size of the case, this was a very lengthy and complex process but a great experience providing me with the opportunity to develop and form an understanding of what is involved in the disclosure process.

As the month has gone on, I have been involved in a number of corporate matters particularly relating to Insolvency. This has involved me being in close communication with both banks and accountancy firms involved in the matters, drafting various court forms and corporate supporting documents such as board minutes, and attending Court in both Leeds and Hull independently. These matters have been a great experience for me and have allowed me to continue to develop my understanding of different aspects of corporate law as well as litigation.

This month I also had some time out of the office on a family holiday to New York which I really enjoyed. It was great to have some down time in the midst of what has been a very busy month!

Finally, towards the end of the month I attended C4DI and Barclay’s ‘Scale Up Hull: A Very Special Partnership Launch’ event at Hull Minster. The partnership will see a new programme launched in Yorkshire as part of Barclay’s Eagle Labs designed to assist build a community for entrepreneurs to accelerate their business. It was a great evening and I am excited to see what is to come of this new initiative that will be based right in the heart of the city.

All in all, it has been another fantastic month here at Rollits and I am looking forward to what November brings.

September 2018 - My first month in the Dispute Resolution department has passed by quickly and the whole team has made me feel very welcomed!

This month I have been involved in various different matters. A lot of the work I have worked on has been commercial focussed particularly looking at contracts and the formation of contracts. This has been very interesting and it has been great to assist in building up evidence in relation these matters and gain an insight into some aspects of commercial litigation.

I have also been involved in some of the departments corporate litigation matters, in particular a shareholder dispute. As I have just spent six months with the corporate team, this has been a good experience and was something I found to be really interesting.

I also had the opportunity to attend an event called ‘Laugh at the Law’ at the city’s new ‘Bonus Arena’ one afternoon this month with a group of colleagues. It’s always great to go out with colleagues and network with other professionals in the city. It was a great afternoon and it was also a good opportunity to see the new arena - a great addition to the city!

This month I have also had some time out of the office to spend some time down South seeing various friends and family in London and Brighton. It’s always nice to have a mini break to recharge!

Overall it has been an enjoyable month and I am looking forward to seeing what October brings!

August 2018 - August has been the final month of my time with the Company Commercial department and it has gone so fast! This month quite a few of the matters I have been working on have completed. It has been great to have seen some of these matters from start to finish.

Throughout the month my work has continued to be very corporate based which has been great. The month started with the completion of a big acquisition we have been working on. I always find completion days exciting as everyone pulls together to get the job done. It’s always great experience to be a part of this and its very rewarding to get a deal over the line. Even more so on this deal as I have worked on it since day one.

I also attended my first disclosure meeting this month which I found very interesting; it was great to gain insight into another key part of the acquisition process. As well as this I have continued to assist on various due diligence exercises which has continued to add to my experience in this aspect of an acquisition.

I have also worked on some internal company reorganisation’s this month which is something I always enjoy doing as I find the technical nature of these jobs really interesting. I have drafted various ancillaries as part of these reorganisations and also assisted in the completion of one.

This month I have also had some time out of the office where I had the chance to go on holiday to Dubai. After what has been a busy summer for the corporate team it was great to have some time off to relax with family.

Overall, it has been a truly fantastic six months in the Company Commercial Department and I have very much enjoyed my time here. I have felt part of the team since joining in March, so it is sad to see this seat come to an end. Everyone I have worked with has been so helpful and I have learnt an awful lot over the last six months.

For my next seat I will be in the Dispute Resolution department; it will be interesting to see all that this brings!

July 2018 - I cannot believe I am at the end of another month here in the Company and Commercial Department. It has been another fantastic month and has gone so quickly. I have been able to get involved in even more matters which has been great.

The majority of my work this month has been Corporate focussed and I have had the opportunity to be involved in areas of corporate law I have not yet experienced, which has been a brilliant opportunity to continue to expand my knowledge in this area of law. I have done the majority of work on a finance deal this month which has involved me drafting a loan agreement and all of the relevant supporting documents for this, which I have really enjoyed. I have now been given an opportunity to carry out the majority of work on another finance deal that is just starting up, which will be great, as it will allow me to put into practice what I have already learnt.

I continue to be involved in acquisition work we currently have going on as a department. This month this has included carrying out further due diligence work and also assisting in putting together a disclosure letter. It has been great to continue to be involved in these matters as the experience I am gaining adds further to my understanding of the process involved and the skills needed in these deals.

All in all, July has been a great month and a chance to continue to be more independent within the department. August is my last month with the Company and Commercial Department and I am looking forward to both getting involved in more matters and finishing off some of the matters I am currently involved in.

June 2018 - I cannot believe I am at the end of another month here in the Company and Commercial Department. It has been another great month and has gone so quickly. I have been able to get involved in even more matters which has been great.

This month a large amount of my work has been to do with a number of acquisitions we are currently working on. It has been great to be involved in these matters as there is a real element of team work involved and I am gaining a more full picture of the full process with the work I am doing. It was particularly great to attend a Due Diligence meeting for one of the acquisitions and then draft the replies after the meeting.

I have also spent three days out of the office this month in Leeds on one of my Professional Skills Courses relating to Business and Finance which I enjoyed. Though it was an intense three days, I felt it was very beneficial, particularly with my current work being very corporate focused.

This week we have welcomed the first intake of summer work experience students.  It has been great meeting new people and also having them around to assist with various matters. The programme will run for the next four weeks so I am sure it will be an exciting and busy few weeks.

All in all, it has been another great month in the Company Commercial Department and I am looking forward to the next and involving myself in more work.

May 2018 - The end of May means I am now halfway through my time in the Corporate & Commercial department!

This month has been another busy month and the majority of my work has been for the corporate team! One of my jobs this month has been in relation to the share reorganisation of a company. This has been a great experience as I have drafted all of the documents for this, from board minutes, to bespoke articles, to a call option agreement, supporting letters and the relevant Companies House forms. I always really enjoy being able to draft all of the documents for these types of company reorganisations/restructures as it allows me to understand the process involved in full.

As well as this, I have continued to be involved some due diligence work for a proposed acquisition, draft various ancillary documents, look at setting up a company limited guarantee and draft the bespoke articles for this company and attend some client meetings for ongoing matters that continue to progress, all adding to my corporate experience!

All in all it has been a great month here in the corporate department and I look forward to the next!

April 2018 - Another month has passed in the Company Commercial department! Now that I have had some time to settle into this seat I have been able to get more heavily involved in different matters, the majority of which have been corporate related.

One of my main jobs this month has been in relation to a Demerger. This has been a great experience as I have drafted all of the documents for this, from board minutes, to bespoke articles, to a share for share exchange agreement, to the relevant Companies House forms and the Demerger agreement itself. I have really enjoyed being a part of this as it has provided me with a great opportunity to improve my drafting skills and understanding of key areas of corporate law.

As well as this, I have been involved in some due diligence work for a proposed acquisition, set up two new companies, drafted various ancillary documents and attended some client meetings and telephone conference calls. All of these adding to my corporate experience.

I have also spent three days out of the office this month in Leeds on one of my Professional Skills Courses relating to Advocacy and Communication Skills which I enjoyed. All in all, it has been another great month in the Company Commercial Department and I am looking forward to the next and involving myself in more work.

March 2018 - My first month in the Company Commercial department has passed by very quickly and the whole team has made me feel very welcomed!

Already this month I have been involved in a number of different matters for both the corporate team and commercial team individually.

The 25th of May will see the new GDPR laws come into force and therefore our commercial team are incredibly busy in the run up to this helping various clients in meeting the new requirements. This has been great for me as it as has allowed me to assist them with checking and amending various contracts to ensure they are GDPR friendly.

The majority of my time this month has been spent helping the Corporate team on various matters, which I have really enjoyed as this aspect of law is something I am very interested in. I have drawn up various board minutes, written resolutions and other ancillary documents for different transactions and already seen a matter from start to finish which involved reducing a company’s capital and I was able to draft all of the relevant documents for this.

I have also attended quite a few completion meetings which has also been a great experience for I’ve been able to see what the end result often looks like for a corporate transaction/deal.

Overall it has been a very enjoyable month and I am looking forward to seeing what April brings!

February 2018 - February has been the final month of my first seat and time with the Commercial Property department and it has passed by quickly! This month quite a few of the matters I have been working on have completed. It has been great to both do these completions and have seen some of these matters from start to finish.

Throughout the month my work has continued to be varied allowing me to continue to experience different areas of property law. I have continued to be involved in a lot of the banking and finance side of Property and securing finance and have completed quite a few deals I have been working on since the new year. This side of Property is something I have really enjoyed as it has allowed me to also gain some corporate experience both looking at company structures and dealing with charges. This has been a great experience for me as I will be joining the corporate department for my next seat.

This month I have also spent some time out of the office at career events representing the firm. These are always great to attend as I enjoy discussing and giving advice to students aspiring to be lawyers.

Overall, it has been another great month with the Commercial Property team. It will be sad to leave the department but I am also really excited for my next seat in Corporate.

January 2018 - Following the Christmas break, January has been a very busy month for the Commercial Property team! Throughout the month I have been involved in areas of property law I have not yet had much experience in and been given more and more independence in running various matters. All of this has been both interesting and a great experience.

A lot of my work this month has been in relation to the banking and finance side to commercial property and what work is involved in acting for the bank in a transaction. I have really enjoyed being involved in this side of property law as it has allowed me to gain some corporate experience as well.

I have also been involved in completing a charge and saw the transaction from start to finish. This provided great experience and a chance to develop some key skills such as drafting, negotiating, meeting with a client to carrying out the completion process.

All in all, January has been a great month and a chance to continue to be more independent within the department. February is my last month with the Commercial Property team and I am looking forward to both getting involved in more matters and finishing off some of the matters I am currently involved in.

December 2017 - December has been a very busy month for the commercial property team at Rollits with lots of matters completing before the Christmas period! It has been a great experience to be a part of a wide range of matters all moving at a fast pace.

This month I have been involved in a great deal of lease work which I have really enjoyed. It has been great to gain experience in a part of property law I have not yet done a great deal of. This month I have also been involved in a lot of report on title work for various matters. This involves collating large amounts of information relating to land/property being bought/sold and producing a report on the information found. This has allowed me to develop a lot of key skills such as research, drafting and identifying relevant information from various documents and searches.

Over the course of the month there have been a lot of social events within Rollits in the run up to the festive period which I have really enjoyed. I have also enjoyed some annual leave where I went spent some time down in London with family. Overall, December has been another exciting and interesting month here at Rollits and I am looking forward to the new year here at the firm!

November 2017 - It is now the end of November which means I am half way through my first seat! I cannot believe how fast it has gone so far! I have really enjoyed the first half of my seat with the commercial property team and I am looking forward to the second half.

This month I have been involved in a wide range of work. A lot of my work has centred around the first registration of two large portfolios of properties and as a result drafting the transfers for each. I have also had the chance to draft other documents such as stat decs, transfers, sale contracts and a report on title. All of this has given me a great opportunity to develop my drafting skills!

This month has also given me the opportunity to be involved in some of our departments planning and development work which has allowed me to experience a new aspect of commercial property. Further, I have also been involved in property work relating to our firms education sector, again offering an opportunity to see property work in a new light to what I have experienced in my previous two months in the department. All of this has been a great experience.

This month I have also had a few days out of the office, I have attended a careers fair at Northumbria University in Newcastle and my first Professional skills course in Leeds. The careers fair was a great opportunity to speak to students wanting to go into law and offer advice!

I am looking forward to December and all of the social events planned within the firm leading up to Christmas. I’m sure it will be a very busy month but also very exciting!

October 2017 - My second month at Rollits has flown by! I cannot believe I have already done two months in the commercial property department. I have enjoyed the second month of my seat a lot and continue to feel very welcomed by everyone at Rollits.

Over the past month I have been able to get involved in a large variety of work, including drafting sale contracts and statutory declarations, reviewing a rent review clause and also attending client meetings for matters I have been involved in since joining the firm. It has been great to already see matters I am involved in progress and some even being close to completion. I have learnt a lot this month from both the work I have completed and those within the property team - it has been very rewarding.

I have also been able to attend a couple of webinars this month which have been really interesting. One was looking at commercial leases, which was particularly helpful for me currently being in the property seat as I am now starting to be involved in some lease work.

I am looking forward to my next month in the department and continuing to complete a variety of work. There are also a few social events going on within the firm which will be a great way to continue to get to know my colleagues!

September 2017 - Before starting my training contract with Rollits, I graduated with a Law degree from the University of Liverpool and completed my LPC at the University of Law in Leeds.

I am a local girl, ‘born and bred’ in the Hull area so it was an exciting prospect coming back home and joining the team at Rollits. I have felt very welcomed both by the firm as a whole and by the Commercial Property department specifically, where I am based for my first seat.

My first month in the property department has flown by and I have enjoyed it greatly! My first week was filled with lots of inductions and welcome meetings, which was a great way into the firm. Following this, I have been able to involve myself in a wide variety of work. This including, drafting various forms for the Land Registry and letters to clients, researching various points of Law and also being able to attend some client meetings. Everyone in the property department has welcomed me in really well and involved me in their work. It has been great to gain knowledge from each of them. Alongside all of this, I have attended some webinars; one being a property focussed one on Rent Review, which was very useful being that it relates to my first seat!

All in all, my first month at Rollits has been fantastic. I am looking forward to my next month and some social events coming up, including the Law Society Ball.
